Notice is hereby given that the 1st annual general meeting of members of the Company will be held at The Auditorium of the Museum Africa, 121 Bree Street, Johannesburg at 9h00, or as soon thereafter as possible, on Thursday 27th September 2007 for the purpose of considering, and if deemed fit passing with or without modification the following:
1. To receive the annual financial statements including the Chairman’ s report and the report of the auditors thereon;
2. To elect members of the Management Board, the following members having made themselves available for election:

3. To appoint Calais Chartered Accountants as auditors of the Company for the ensuing year;
4. As a special resolution, to adopt new Articles of Association of the Company to replace the current Articles of Association and Constitution which are abrogated in their entirety. Copies of the proposed Articles of Association are available upon request;
The terms of the special resolution are to abrogate the existing Articles of Association and Constitution and replace them with new Articles of Association which combine and, where necessary, bring into alignment the provisions of the existing Articles of Association and the Constitution adopted by the Company.
The effect will be that the existing Articles of Association and Constitution will be abrogated and replaced by new Articles of Association.
5. To transact such other business as may be transacted at an annual general meeting.
A member entitled to attend and vote at the meeting is entitled to appoint one or more proxies to attend, vote and speak in his stead. A proxy need not also be a member of the Company.
In order to be valid, a form of proxy must be lodged at the company's registered office at 85 1st Avenue, Melville, Johannesburg, at least 48 hours before the commencement of the meeting.
A proxy form for use in this regard is enclosed.
