C) TERMS OF MEMBERSHIP EXPLANATORY NOTES:

Airco:	Airco is a company incorporated in terms of Section 21 of the Companies Act, 1973, whose primary object is to represent independent record companies in South Africa in all aspects of the music industry and to promote independent record companies generally. Airco will provide these services in accordance with its Memorandum and Articles of Association.
Eligibility for membership:	To be a member, the Board has resolved that an Applicant must satisfy the following continuing terms and conditions of membership, namely the Applicant must: 1.warehouse and distribute records and/or music videos in South Africa; or 2. manufacture records and/or music videos in South Africa; or 3. act as a collecting society or agency whose members are wholly or partly independent record companies; or 4. make any other direct or indirect contribution to the business of independent record companies as approved by the Board from time to time; and 4. have a place of business in South Africa; and 5. not be owned or controlled by a major record company; and 6. trade honestly and fairly regarding the public, its suppliers and customers, and not engage in conduct which is otherwise unbefitting of a member of Airco; and 7. not been found by a court to have infringed copyright in a sound recording or a musical composition.
Membership Fees:	The Board has resolved that membership fees for the year ending February 2008 shall be R100.00 (one hundred Rand) (excluding VAT).
Rights and obligations of members	For all other rights and obligations of members, see Airco's Memorandum and Articles of Association which documents are available from Airco on request.
